Terms of Service

These Terms of Service ("Terms") govern your access to and use of the OSpace platform and services. OSpace is a product of Osad Professionals. By accessing or using OSpace, you agree to be bound by these Terms. If you do not agree, you must not use our services.

1. About OSpace

OSpace is a verified real estate and workspace marketplace designed for Nigeria's space economy. The platform enables property owners, agents, and space seekers to list, discover, verify, and transact spaces with LGA-level precision, institutional KYC checks, and in-app communication tools. OSpace is developed and operated by Osad Professionals.

2. Eligibility

You must be at least 18 years of age to use OSpace. By using the platform, you represent and warrant that you are of legal age and have the capacity to enter into a binding agreement under Nigerian law. If you are using OSpace on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration & Verification

To access certain features of the platform, you may be required to create an account and provide accurate, complete information. You agree to:

• Provide truthful and up-to-date registration information
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorised access or breach
• Complete identity verification as required, which may include providing your National Identification Number (NIN), Bank Verification Number (BVN), and/or Corporate Affairs Commission (CAC) registration details

Listings may not go live until identity and business verification is confirmed. OSpace reserves the right to suspend or terminate accounts that fail verification or provide false information.

4. Platform Use

You agree to use OSpace only for lawful purposes and in accordance with these Terms. You shall not:

• Post false, misleading, or fraudulent listings
• Impersonate any person or entity
• Interfere with or disrupt the platform's infrastructure
• Use automated systems (bots, scrapers) to access the platform without permission
• Harass, threaten, or abuse other users
• Use the platform for money laundering or any illegal activity
• Circumvent or attempt to bypass verification requirements

5. Listings & Transactions

Space owners and agents are responsible for the accuracy, legality, and completeness of their listings, including descriptions, pricing, images, and availability. OSpace acts as an intermediary marketplace and does not own, manage, or control any listed properties.

OSpace is not a party to any transaction between users. While we facilitate discovery and communication, we do not guarantee the quality, safety, legality, or availability of any listed space. Users transact at their own risk and are encouraged to conduct their own due diligence.

6. Payments & Fees

OSpace may facilitate payments between parties through the platform. Service fees, if applicable, will be disclosed before any transaction is completed. OSpace may use third-party payment processors, and your use of payment features is subject to those processors' terms and conditions. Refund and dispute policies will be communicated at the point of transaction.

7. Intellectual Property

All content, features, functionality, branding, and design elements of OSpace — including but not limited to the name "OSpace", logos, text, graphics, and software — are the property of Osad Professionals or its licensors and are protected by Nigerian and international intellectual property laws.

By submitting content (listings, images, messages) to OSpace, you grant us a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute that content within the platform for the purpose of providing our services.

8. Disclaimer of Warranties

OSpace is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

To the maximum extent permitted by applicable Nigerian law, OSpace and Osad Professionals shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the platform — even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless OSpace, Osad Professionals, and their directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the platform, violation of these Terms, or infringement of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your account and access to the platform at our sole discretion, without prior notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable. Upon termination, your right to use OSpace ceases immediately.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or relating to these Terms or your use of OSpace shall be subject to the exclusive jurisdiction of the courts located in Lagos State, Nigeria.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date at the top of this page and, where appropriate, through email notification. Your continued use of OSpace after changes are posted constitutes acceptance of the updated Terms.
